Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Nookpal — the software platform that helps Nigerian short-let and hospitality hosts manage properties, bookings, guests, and payments. By creating an account or using Nookpal, you agree to these Terms.

1. Who we are

Nookpal (“Nookpal”, “we”, “us”, or “our”) is a property management platform operated in Nigeria. Nookpal provides software tools; it is not a travel agency, a property broker, or a party to any booking or payment between a host and their guests.

2. Eligibility and your account

  • You must be at least 18 years old and able to enter into a binding contract to use Nookpal.
  • You are responsible for the accuracy of the information you provide and for all activity that happens under your account, including activity by teammates and agents you invite.
  • Authentication is handled by our identity provider. Keep your login credentials secure and notify us promptly of any unauthorised use of your account.

3. Your responsibilities as a host

  • You are solely responsible for your listings, pricing, availability, house rules, and for honouring the arrangements you make with your guests and agents.
  • You must have the legal right to list and manage the properties you add, and to collect and process the guest information you enter into Nookpal.
  • You must use Nookpal in compliance with all applicable laws, including tenancy, consumer, tax, and data-protection laws in your jurisdiction.

4. Bookings, inquiries, and payments

Nookpal helps you record inquiries, confirm bookings, generate documents, and track payments. Any booking, deposit, balance, caution fee, or refund is an agreement between you and your guest or agent. Nookpal is not a payment processor and does not hold, collect, or disburse funds on your behalf. We are not responsible for disputes over money, dates, cancellations, or property condition.

5. Agents and team members

When you invite an agent or teammate, you decide the properties and permissions they can access. You are responsible for the people you invite and for the pricing and links they generate within the limits you set. Agent-facing pricing you permit is separate from your own base rate and reporting.

6. Acceptable use

You agree not to:

  • use Nookpal for any unlawful, fraudulent, or misleading purpose;
  • upload content you do not have the right to use, or that is defamatory or infringing;
  • attempt to access data belonging to other organisations, or probe, scan, or breach security;
  • scrape, resell, or reverse-engineer the platform, or overload it with automated requests;
  • misuse public pages, booking links, or guest data collected through Nookpal.

7. Feature access and changes

Some capabilities are made available to your organisation on a per-feature basis and may be turned on or off. We may add, change, or remove features, and we may run early-access or beta features that are provided “as is” and may change or be withdrawn.

8. Intellectual property

Nookpal, including its software, design, and branding, is owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform while these Terms are in effect. You retain ownership of the data and content you put into Nookpal, and you grant us the rights needed to host and process it to provide the service.

9. Fees

Where a plan or feature is paid, the applicable fees and billing terms will be presented to you before you incur them. Unless stated otherwise, fees are non-refundable except as required by law.

10. Suspension and termination

You may stop using Nookpal at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or where required by law. On termination, your right to use the platform ends; we will handle your data as described in our Privacy Policy.

11. Disclaimers

Nookpal is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. Analytics, traffic counts, and reports are estimates provided for convenience and should not be treated as audit-grade records.

12. Limitation of liability

To the fullest extent permitted by law, Nookpal will not be liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim (or ₦0 where no fees were paid).

13. Indemnity

You agree to indemnify and hold Nookpal harmless from claims arising out of your use of the platform, your content, your dealings with guests or agents, or your breach of these Terms.

14. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria will have jurisdiction over any dispute, without prejudice to any mandatory rights you have under local law.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of Nookpal after changes take effect means you accept the updated Terms.
